シンガポール：SIACモデル仲裁条項の改訂

最近、シンガポール国際仲裁センター（SIAC）が推奨するモデル仲裁条項が若干改訂されたので念のためお伝えする。
今回の改訂は、従来中国に関して別途のモデル条項が推奨されていたところ、これを一本化するためになされた変更とみられる。中国仲裁法においては、仲裁合意においては仲裁機関を明確に規定しなければならないという比較法的には特異な規制が存在しており、多くの仲裁機関が中国の当事者が関与する案件については、通常のモデル条項ではなく、仲裁機関を明記する形の特別なモデル条項を推奨していた（例えばICCにつきhttp://www.iccwbo.org/products-and-services/arbitration-and-adr/arbitration/standard-icc-arbitration-clauses/）。しかし、他方において、仲裁合意において仲裁機関を特定しておくことは、中国以外の国の当事者が関与する案件であっても特段の害は存在しないことから、今回の一本化が図られたものと考えられる。
また、従前はシンガポールを仲裁地とすることがモデル仲裁条項本文中で明記されていたものの、今回は当事者が他国も含めて仲裁地を検討することを促すような規定振りと変更された。SIACとしては異なる仲裁地であってもSIAC仲裁は可能ということを改めて示すことによって、よりグローバルな需要を取り込もうということかも知れない。ただし、仮に仲裁地を定めない場合、SIAC仲裁規則18.1条によれば仲裁地はシンガポールとなるのがデフォルトであり、仲裁地を特定せずとも問題はない。
いずれにせよ、今回の改訂がなされたからといって、既存の契約にこれまでのモデル仲裁条項を残しておいて何らか支障が生じる事態は考えがたく、これが故に既存の契約をまき直す必要性は特段生じないものと思われる。
なお、中国を仲裁地としてSIAC等の外国仲裁機関を選択した場合、その仲裁判断の中国国内における執行可能性について若干の疑義が呈されている点には注意が必要である。2013年には、上海を仲裁地とするICC仲裁合意の有効性を認める回答を最高人民法院が行ってはいるものの、個別事案に関するものであり、今後の司法解釈及び実務運用の動向が注目される。

Any dispute arising out of or in connection with this contract, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore administered by the Singapore International Arbitration Centre (“SIAC”) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre (“SIAC Rules”) for the time being in force, which rules are deemed to be incorporated by reference in this clause.
The seat of the arbitration shall be [Singapore].*
The Tribunal shall consist of _________________** arbitrator(s).
The language of the arbitration shall be ________________.
